General conditions of sale

Excerpt from the general conditions of sale and delivery

  1. Our invoices are payable in cash in Lokeren, unless otherwise expressly confirmed in writing by us.
  2. Complaints or objections must reach us by registered mail within eight days of receipt of the goods to be considered.
  3. Payment must be made no later than the due date, without compensation and without deduction of any charges or discounts to which the buyer is no longer entitled. On all payment conditions (discounts or term), the clause mentioned on the relevant documents (offer, order confirmation, invoice) applies. In case of non-payment or incomplete payment of the invoice within 14 days from the invoice date, automatically and without notice, a negligence interest of 1% per month on the invoice amount or on the balance will be due.
  4. The tacit acceptance of offers and invoices also constitutes acceptance of our general terms and conditions.
  5. In case of non-payment or incomplete payment of the invoice amounts on the due date, the buyer/debtor shall also be liable, ipso jure and therefore without prior notice of default, to pay a lump-sum conventional compensation of 10 % on the invoice amount or on the balance with a minimum of 75 EUR (this in addition to the principal and conventional interest)
  6. Delivered materials will not be taken back; except in special cases subject to a depreciation of minimum 30% to cover the costs caused.
  7. If an overdue invoice remains unpaid in whole or in part, all other invoices that may not yet have fallen due shall become immediately payable, so that the seller shall be entitled to collect all issued and outstanding invoices at once. Partial payments are accepted with all reservation and without any adverse acknowledgement. They will be applied first to any legal costs incurred, then to liquidated damages (art. 5), then to conventional interest (art. 3) and then to the principal sum.
  8. In case of non-payment, the goods remain the property of the seller.
  9. In the event of violation of any of the provisions of these sales and delivery terms, the seller shall be entitled to declare all agreements concluded with the customer in question - without any notice of default or judicial intervention being required - to be dissolved, without prejudice to all legal rights accruing to the manufacturer.
  10. Quotations and offers made are valid for a period of 30 days. Each quotation or offer expires in case of non-acceptance within this period, unless expressly stated otherwise.
  11. The applicability of any purchasing or other terms and conditions of the customer or client is expressly rejected.
  12. Our delivery times, whether confirmed by telephone or in writing, are at all times indicative only.
  13. Delivery is made ex works, even if sold "carriage paid to destination", so that all goods, including those delivered carriage paid f.o.b. or c.i.f., travel at the buyer's risk. Deliveries under 350 € are not sent carriage paid, unless it is a partial shipment forming part of an order exceeding 350 €. All delivered goods remain the property of the seller until the purchase price has been paid in full.
  14. As long as the invoice has not been paid, the buyer is not entitled to resell or process the goods nor to pledge them to third parties or to serve them as security in the broadest sense to third parties. In case of violation of this article, a fixed compensation of 15 % of the sales price will be due by the buyer. If the goods are nevertheless sold or disposed of, the right to the resulting sales price shall take the place of the delivered goods.
  15. The courts of the seller's domicile shall have exclusive jurisdiction at all times to hear any disputes, without prejudice to the seller's right to deviate from this and to summon the buyer to appear before the court of the buyer's domicile or registered office in accordance with article 624 of the Judicial Code. Belgian law shall apply at all times. The parties expressly agree that the provisions of the Vienna Convention on International Sales of 11 April 1980 do not apply to their present and future relations.
